1. General

1.1.  Headings are for convenience only and shall not be used to aid interpretation.

1.2.  References within this Agreement are as follows:

1.2.1.  “You” and “your” refer to you, the “consumer”.

1.2.2.  “I”, “me” and “my” refer to DJ Mystery To Mastery Ltd., the “trader”, of 61 Bridge Street, Kington, Herefordshire, HR5 3DJ.

1.2.3.  “Written” and “in writing” include email.

1.2.4.  “Working Day” is any day on which English banks are open for business.

1.2.5.  “Parties” include both individuals and respective legal entities. “Party” refers to either individual or legal entity.

1.2.6.  “Client Duties” are outlined in Section 6.

1.2.7.  “Charges” include the agreed payment for the services and are detailed in Section 10.

1.2.8.  “Program” and “programs” refer to the courses offered by DJ Mystery To Mastery Ltd.

1.3.  Notices served under this Agreement shall be in writing and sent by email.

1.4.  Notices shall be deemed served at 9.00am GMT on the first Working Day following delivery by email.

1.5.  You may not assign any of your rights or sub-contract or delegate any of your obligations under this Agreement except with my prior written consent.

1.6.  Failure or delay by either party to insist upon strict performance of any provision of this Agreement or to exercise any right shall not be construed as a waiver of any breach or right.

1.7.  If any provision of this Agreement is held by any English court or other competent authority to be void or unenforceable in whole or part, the unaffected provisions of this Agreement shall continue to be valid.

1.8.  Nothing in this Agreement shall create, or be deemed to create, a partnership or the relationship of principal/agent or employer/employee between the parties.

1.9.  This Agreement constitutes the parties’ entire agreement and supersedes all prior arrangements and understandings relating to its Services. It may not be varied except by written agreement by both parties.

1.10.  By purchasing any of the DJ Mystery To Mastery programs you agree to the terms and conditions outlined in this Agreement. You do not rely on any other representation, warranty or other provision. All conditions, warranties or other terms implied by statute or common law are excluded to the fullest extent permitted by law.

1.11.  This Agreement and any non-contractual claims or disputes shall be governed by and construed in all respects in accordance with English law, and each party agrees to the exclusive jurisdiction of the English courts.

 

2. The Services

2.1.  Subject to the terms of this Agreement, I shall provide you with the Services outlined in Schedule A. These Services shall be delivered in return for payment as detailed in Section 10.

2.2.  As soon as the first or full payment has been received, you will have access to all the relevant Services. Access instructions will be sent via email.

2.3.  Any dates and times specified in Schedule A or otherwise agreed between us, are subject to variation at my discretion with reasonable notice. Any changes to dates and times will be organised in consultation with you to minimise disruption.

2.4.  My provision of the Services is subject to:

2.4.1.  Your timely payment of all Charges due.

2.4.2.  Your fulfilment of the Client Duties outlined in Section 6.

2.4.3.  You agreeing to provide information to me as reasonably requested

2.4.4.  You agreeing to take appropriate action within reasonable and agreed timescales as reasonably directed by me, or mutually agreed for the progression of your learning.

 

3. Charges and Expenses

3.1.  The Charges detailed in section 10.2 are payable on the contracted dates.

3.2.  If paying in full, full payment shall be made on the date of purchase. If paying as part of a payment plan, the first instalment shall be made on the date of purchase and the remaining instalments shall be paid on a monthly basis until full payment has been made.

3.3.  Any additional Charges shall be mutually agreed before they are incurred.

3.4.  Any additional Charges shall be issued by invoice via email at or after the stages/times agreed for such charges.

3.5.  Invoices are due within 72 hours of issue, unless otherwise mutually agreed.

3.6.  All payments of Charges and invoices shall be made via Stripe, PayPal or bank transfer.

3.7.  If you become aware of any circumstances preventing you from meeting the agreed payment dates outlined in this Agreement, you must inform me as soon as reasonably possible. I may, at my discretion, re-negotiate a revised payment schedule. I retain the right to immediate termination of contract as per Section 8.

 

4. Protection of Services & Intellectual Property

4.1.  You shall not reproduce, copy, sell, trade, resell or exploit any aspect of the Services, Intellectual Property or any associated materials provided by me for any purpose, commercial or otherwise.

4.2.  All intellectual property and other proprietary rights in materials provided in connection with the Services are owned by me or my Licensors. These rights include without limitation copyright and any rights in designs.

4.3.  You shall not acquire any rights to such materials without my explicit permission and approval.

4.4.  You shall not use such material for any commercial purpose or carry out any action inconsistent with my ownership.

4.5.  If you become aware of any actual or threatened infringement by any person of the intellectual property and proprietary rights of my materials, you agree to inform me at once in writing.

 

5. Confidentiality and Non-Disparagement

5.1.  Each party shall keep confidential all sensitive information relating to the other and their business. This includes materials provided in connection with the Services.

5.2.  Neither party shall use such information for any purpose other than that for which it was provided.

5.3.  Clauses 4.1 and 4.2 shall not apply to the extent that any information is required to be disclosed by law or by any English court or public body having binding authority to require such disclosure.

5.4.  Each party agrees not to engage in any conduct or communications, public or private, intended or likely to disparage the other or damage their interests.

 

6. Client Conduct 

6.1.  You agree to behave professionally, courteously and respectfully in all dealings with me, any person(s) acting on my behalf and any other clients or other third parties to whom you may be introduced in connection with the Service.

6.2.  You agree to adhere to any program rules which I may provide from time to time.

6.3.  You agree not to carry out any action intended or likely to bring me, my company or the Services into disrepute.

 

7. Liability and Indemnity 

7.1. My liability to you in connection with the Services shall be limited to the level of the Charges you have paid me under this Agreement. This also applies to any breach of this Agreement or negligence.

7.2. I do not accept any liability for:

7.2.1.  Any emotional states, or other such issues, that arise as a result of our working together.

7.2.2.  Any failure or delay in performing the Services arising from any matter beyond my reasonable control.

7.3. You shall indemnify me, and any person(s) acting on my behalf, for any and all losses, costs, claims or demands, suffered by me or them, arising as a result of your acts or omissions.

7.4. This Agreement shall not limit the liability of any person in respect of any matter for which it is not possible to limit liability by law.

 

8. Termination

8.1. If a breach of Agreement is identified by either party, the party identifying the breach shall serve written notice (including email) to the other party requesting a remedy.

8.2. This Agreement can be terminated immediately by giving the other party notice in writing (including email) if the other party:

8.2.1. Materially breaches this Agreement and fails to remedy the breach within 7 days of the first party serving written notice. Material breaches include but are not limited to:

8.2.1.1. Failure to pay agreed Charges 7 days past due date.

8.2.1.2. Improper use of my Intellectual Property as outlined in Section 3.

8.2.1.3. Any breach of confidentiality as outlined in Section 4.

8.2.1.4. Any other action deemed to bring me, my company, any person working with me, or any member of DJ Mystery To Mastery into disrepute.

8.2.2.  Is party to any voluntary arrangement or composition with creditors.

8.2.3.  Is admitted to hospital under mental health legislation.

8.2.4.  Is under a court order due to a mental disorder (in any legal jurisdiction)

8.2.5.  Has given Power of Attorney to someone else in relation to any of the decisions required under this contract.

8.3.  This Agreement terminates automatically on your or my death.

8.4.  You have 14 days from the date of purchase to withdraw from DJ Mystery To Mastery. To do this, you must request a refund in writing by emailing [email protected].

8.5.  Upon receiving written notice for a refund within 14 days from the date of purchase, DJ Mystery To Mastery Ltd. will refund you the full cost of the program minus any fees incurred within 7 days and you will no longer have access to the course material.

8.6.  As of day 15 after the purchase of any of the DJ Mystery To Mastery programs, no refund is possible.

8.7.  The guarantee to pay for one 1:1 masterclass with one of DJ Mystery To Mastery’s competitors is only available to mini-series students. You must have signed up to the mini-series for this guarantee to apply. In addition:

8.7.1.  The 1:1 masterclass is organised solely at the discretion of DJ Mystery To Mastery Ltd.

8.7.2.  The 1: 1 masterclass tutor will be chosen solely by DJ Mystery To Mastery Ltd.

8.7.3.  The masterclass is not transferable for cash.

8.7.4.  The masterclass session expires in 30 days after the refund request.

 

9. Photos and Recordings

9.1.  You agree for recordings to be made that may include your image, voice, name and likeness during the course of this Agreement, if sessions take place on systems that allow for recording.

9.2.  I shall not use any photos or recordings that include your name, voice or likeness for any lecture, teaching, coaching, other goods or services offered by me or marketing materials without permission being first requested by me and granted by you.

9.3.  Recordings and course material will be made available to you only. You agree to use these only for the purposes within the remit of the learning of this Agreement.

9.4.  You shall not distribute or share any recordings or course material to anyone.

 

10. Charges and Payment

10.1.  Where I perform any Services not included within Schedule A, any additional charges agreed between us shall be detailed in an invoice and sent via email.

10.2.  Charges for DJ Mystery To Mastery are as follows:

10.2.1.  DJ Mystery To Mastery Course Videos Program Full Payment: £474

10.2.2.  DJ Mystery To Mastery Course Videos Program Payment Plan: 2 x monthly instalments of £223.50, Total Investment in Program: £474

10.2.3.  DJ Mystery To Mastery Main Program Full Payment: £747

10.2.4.  DJ Mystery To Mastery Main Program Payment Plan: 4 x monthly instalments of £186.75, Total Investment in Program: £747

10.2.5.  DJ Mystery To Mastery 1:1 Support Program Full Payment: £1247

10.2.6.  DJ Mystery To Mastery 1:1 Support Program Payment Plan: 4 x monthly instalments of £311.75, Total Investment in Program: £1247

10.3 Payments can be made by Stripe, PayPal or bank transfer. You will be required to set up a standing order if you are paying in instalments.

 

11. Disclaimers

11.1.  You acknowledge that the Services involve coaching, education and personal commitment and that no specific results can therefore be guaranteed by me. I accept no responsibility for any decisions made by you as a result of the Services.

11.2.  My obligations are limited to providing the Services as expressly described in this Agreement and no further warranties, representations or assurances are given by me except where these are implied by and cannot be excluded under law.

11.3.  You confirm that you are mindful of your own wellbeing and are wholly responsible for taking any medical or therapeutic advice or treatment which is or may be to your benefit, without guidance or involvement on my part.

• Core DJ skills such as beat-matching, looping and harmonic mixing
• How to integrate the core DJ skills in the mix

Enrolment in the DJ Mystery To Mastery Course Videos Program entitles you to:
